Terms and Conditions for EchoLumen

Welcome to EchoLumen ("EchoLumen," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of the EchoLumen website (www.echolumen.com), our AI-powered transcription and summarization service for therapy sessions (the "Service"), and any related applications, features, or content provided by us. The Service enables users to upload audio or video recordings of therapy sessions for automated transcription and generation of bullet-point summaries using advanced AI models.

By accessing or using the Service, creating an account, or purchasing a plan (e.g., Single Session, 5-Session Bundle, or Unlimited Monthly), you agree to be bound by these Terms, our Privacy Policy (available at www.echolumen.com/privacy), and any applicable Data Processing Addendum. If you are entering into these Terms on behalf of an organization or entity, you represent that you have the authority to bind that organization to these Terms.

IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT USE THE SERVICE.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this requirement and that you are not barred from using the Service under applicable law. The Service is intended for licensed therapists, counselors, or qualified mental health professionals. Users must comply with all relevant laws, including those governing patient consent, data protection (e.g., HIPAA in the U.S.), and professional ethics.

2. Service Description

EchoLumen provides an AI-driven tool to transcribe uploaded audio/video files (up to 120 minutes per session) and generate concise, professional bullet-point summaries focused on key themes, insights, and action items. The Service is powered by third-party AI models (e.g., xAI Grok and OpenAI Whisper) and automation tools (e.g., n8n). We do not store session files or transcripts beyond processing (files are deleted immediately after summarization).

  • Plans and Pricing: Access is subscription-based:

    • Single Session: $6.99 (1 credit for one session).

    • 5-Session Bundle: $29 (5 credits, non-expiring).

    • Unlimited Monthly: $69/month (unlimited sessions, priority processing, PDF exports; recurring until canceled).

  • Prices are in USD, exclusive of taxes. We may update pricing with notice via email or the Service.

We strive for accuracy but do not guarantee 100% precision in transcriptions or summaries, as AI outputs can vary based on audio quality, accents, or complex language.

3. User Accounts and Responsibilities

  • Registration: To use the Service, you must create an account with accurate information. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

  • User Content: You retain ownership of uploaded files, transcripts, and summaries ("User Content"). By uploading, you grant us a limited, non-exclusive, royalty-free license to process User Content solely for providing the Service (e.g., transcription and summarization). You represent and warrant that:

    • You have obtained explicit, informed consent from all participants (e.g., clients) before recording and uploading sessions, in compliance with privacy laws (e.g., HIPAA, GDPR).

    • User Content does not violate any laws, third-party rights, or professional standards (e.g., no illegal, harmful, or confidential non-consensual material).

    • You will anonymize sensitive details (e.g., names) in summaries as needed.

  • Prohibited Use: You may not:

    • Upload content that infringes intellectual property, privacy, or publicity rights.

    • Use the Service for non-therapy purposes (e.g., commercial exploitation of summaries).

    • Reverse-engineer, scrape, or disrupt the Service.

    • Share account access or use automated tools to access the Service excessively.

We reserve the right to suspend or terminate accounts for violations, at our discretion.

4. Payments and Subscriptions

  • Billing: Payments are processed via Wix Payments or Stripe. All purchases are final, but we offer a 7-day money-back guarantee for first-time buyers (contact support@echolumen.com).

  • Subscriptions: Recurring plans (e.g., Unlimited) auto-renew until canceled. You can cancel anytime via your account dashboard; no refunds for partial months.

  • Taxes: You are responsible for applicable taxes. We may update terms for new fees with 30 days' notice.

  • Credits: Bundle credits (e.g., 5-Session) do not expire but are non-transferable and deducted per session (1 credit per upload).

5. Privacy and Data Protection

Your privacy is paramount, especially for therapy-related content. We process User Content securely:

  • No Storage: Audio/video files are deleted immediately after processing; summaries are stored only in your account.

  • No AI Training: User Content is never used to train or improve our AI models.

  • Security: We use industry-standard encryption (in transit and at rest) and comply with HIPAA-like standards (e.g., no data sharing with third parties except processors like xAI and OpenAI under strict agreements).

  • Compliance: As a data processor, we adhere to your instructions. See our Privacy Policy for details on data handling, rights (e.g., access/deletion), and breaches.

You are the data controller and must ensure lawful processing (e.g., client consent).

6. Intellectual Property

  • Our Rights: The Service, including AI models, software, and branding, is owned by us or our licensors. You receive a limited, non-transferable license to use the Service during your subscription.

  • Your Feedback: If you provide suggestions or improvements, we may use them royalty-free.

7. Disclaimers and Limitation of Liability

  • As-Is Service: The Service is provided "as is" without warranties (express or implied), including accuracy, availability, or fitness for therapy use. AI summaries are tools, not professional advice—always review and edit for clinical accuracy.

  • Therapy Disclaimer: EchoLumen does not provide medical, psychological, or legal advice. Users are solely responsible for compliance with professional standards and laws.

  • Limitation of Liability: To the fullest extent permitted by law, we are not liable for indirect, incidental, or consequential damages (e.g., data loss, inaccurate summaries, or therapy outcomes). Total liability is limited to fees paid in the prior 12 months.

  • Indemnification: You agree to indemnify us against claims arising from your User Content or misuse of the Service.

8. Termination

  • By You: Cancel anytime via dashboard.

  • By Us: We may terminate for violations, non-payment, or at our discretion (with notice where possible).

  • Effects: Upon termination, access ends; we delete your data per Privacy Policy (unless required by law).

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of [Your State/Country, e.g., California, USA], without regard to conflict principles. Any disputes will be resolved exclusively in the courts of [Your Jurisdiction, e.g., San Francisco County, CA]. You waive jury trials and agree to individual arbitration under AAA rules for claims under $10,000 (opt-out within 30 days).

11. Miscellaneous

  • Entire Agreement: These Terms (with Privacy Policy) are the full agreement.

  • Severability: Invalid provisions don't affect the rest.

  • Waiver: No waiver unless in writing.
